Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your access to and use of Known. (the "Service"), operated by Known. ("we", "us", "our"), a sole trader registered in Australia (ABN 47 360 586 979). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. The Service

Known. is an AI-native org design tool that helps founders map goals to the capabilities needed to execute them, and suggests whether each gap is best filled by a person, an AI agent, an automation, or a tool. The Service produces recommendations and design documents to support your decisions. It does not make decisions for you.

3. Your account

You are responsible for the activity on your account and for keeping your login secure. You must provide accurate information and be at least 18 years old to use the Service. Notify us promptly at contact@makeitknown.com.au if you believe your account has been compromised.

4. Acceptable use

You agree not to:

  • use the Service to break the law or infringe anyone's rights;
  • upload content you do not have the right to use, or that is unlawful, harmful, or misleading;
  • attempt to reverse engineer, disrupt, overload, or gain unauthorised access to the Service or its infrastructure;
  • resell or provide the Service to third parties except as expressly permitted by your plan.

5. Subscriptions, billing, and cancellation

  • Paid plans are billed in advance through our payment processor, Stripe, on the cycle you select (for example, monthly or annual).
  • Unless cancelled, paid plans renew automatically at the end of each cycle at the then-current price. We will give you reasonable notice of any price change.
  • You may cancel at any time. Cancellation stops future renewals; your plan stays active until the end of the current paid period. We do not offer pro-rata refunds for partial periods, except where required by the Australian Consumer Law.

6. Your content

You own the goals, context, and org design content you create in Known. ("Your Content"). You grant us a limited licence to host, process, and display Your Content solely to operate and improve the Service for you, including passing relevant context to AI models to generate the responses you request. We do not sell Your Content, and we do not use it to train AI models.

7. AI-generated output

The Service uses AI to generate recommendations, classifications, and design documents. This output is decision support, not professional advice. It is not legal, financial, tax, HR, or employment advice, and it may be incomplete or incorrect. You are responsible for reviewing output and for any decision you make based on it. Known. does not make hiring, employment, or organisational decisions for you: any decision to hire, engage, or release a person, or to act on any recommendation, is yours, and you are responsible for complying with applicable employment and other laws. AI output may not be unique to you, and similar output may be generated for other users.

8. Disclaimers and liability

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we exclude all warranties not expressly stated in these Terms, and we are not liable for indirect, incidental, or consequential loss, or for lost profits, revenue, or data.

Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law that cannot lawfully be excluded. Where our liability cannot be excluded but can be limited, our liability is limited, at our option, to resupplying the Service or paying the cost of resupply. Otherwise, our total liability to you is limited to the amount you paid us for the Service in the 12 months before the claim.

9. Suspension, termination, and discontinuation

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access if you materially breach these Terms, use the Service in a way that risks harm to us or others, or fail to pay fees when due (we may suspend access until payment is made). Where practical, we will give you notice and a chance to fix the problem first.
  • We may change or discontinue the Service, or any feature of it, with reasonable notice. If we discontinue the Service, or end your paid account without cause, while you are on a paid plan, we will refund the unused portion of your prepaid fees on a pro-rata basis. No refund is due where we terminate for your breach.
  • On termination, your right to use the Service ends. We keep Your Content for a short period afterwards so you can request an export, then delete it (see our Privacy Policy). Sections that by their nature should survive (including content licence, disclaimers, liability, and governing law) continue to apply.

10. Service availability

We work to keep the Service available, but we do not guarantee it will be uninterrupted or error-free. We may suspend it temporarily for maintenance, updates, or reasons beyond our reasonable control (for example, failures of power, networks, or third-party providers). To the extent permitted by law, we are not liable for unavailability caused by events outside our reasonable control.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the date at the top of this page, and for changes that materially affect your rights we will give you reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

12. Assignment

You may not transfer your rights under these Terms without our consent. We may transfer our rights and obligations under these Terms to another entity (for example, if our business is sold or reorganised), provided your rights under these Terms are not materially reduced.

13. Governing law

These Terms are governed by the laws of Victoria, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Victoria and the courts able to hear appeals from them.
